These Terms of Service ("Terms") govern your access to and use of the services provided by 3-102-960421 Sociedad de Responsabilidad Limitada (Tax ID 3102960421), trading as "Parlaresoft" ("we," "us," or "our"), a Costa Rican limited liability company with registered address at Calle Boquerón, Condominio Casa del Parque, Casa 26, San Rafael, Guachipelin, Escazú, San José 10203, Costa Rica. These Terms cover the self-serve AI chatbot software platform accessible at parlaresoft.com (the "Service"). By subscribing to or using the Service, you agree to be bound by these Terms.
Parlaresoft is a digital software-as-a-service (SaaS) product. No physical goods, shipping, or tangible items are involved. The Service consists of a cloud-hosted web application where customers configure, monitor, and manage AI chatbots deployed on supported messaging channels (including Telegram, WhatsApp, and embeddable web chat). All access is delivered over the internet via a standard web browser; customers receive login credentials upon subscription and interact with the Service exclusively through the online dashboard and API.
The Service is offered on a subscription basis with a recurring monthly fee as described on our Pricing page. Payments are processed by Paddle.com Market Limited ("Paddle"), our authorized reseller and Merchant of Record. By subscribing, you agree to Paddle's terms and conditions in addition to these Terms.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account dashboard.
Each plan includes a monthly AI usage credit. AI consumption is metered by token usage and tracked in real-time in your dashboard. If your usage exceeds the included credit in a billing period, the overage amount is billed at cost on your next invoice.
Usage records: Parlaresoft provides 12 months of detailed usage records accessible through your portal dashboard. Records include per-bot token consumption, cost breakdown, and billing period summaries. After 12 months, usage records are archived and removed from the portal. Monthly consumption reports are generated and retained internally for accounting purposes.
You agree not to use the Service to:
You retain ownership of all content, knowledge base materials, and data you provide to configure your AI agent ("Customer Content"). You grant Parlaresoft a limited license to use your Customer Content solely to operate and improve the Service for your account.
You are responsible for ensuring you have the right to share any content you upload, and that it does not infringe third-party rights.
We target 99.9% monthly uptime for deployed AI agents. Scheduled maintenance windows and force majeure events are excluded from uptime calculations. We monitor all active agents and aim to restore any outage within 2 hours.
To the maximum extent permitted by applicable law, Parlaresoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising out of or related to your use of the Service.
Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Parlaresoft in the three months preceding the claim.
The Service is provided "as is" and "as available." We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated responses will be accurate or suitable for any specific purpose. AI assistants may produce incorrect or incomplete responses — you are responsible for reviewing AI outputs before relying on them for business decisions.
Either party may terminate the subscription at any time. Upon termination, your AI agent will be deactivated and your data will be retained for 30 days before permanent deletion, unless you request earlier deletion. We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.
These Terms shall be governed by and construed in accordance with applicable law. Disputes will be resolved through good-faith negotiation where possible, and thereafter through binding arbitration or a competent court of jurisdiction.
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
